These Terms of Service ("Terms") govern your access to and use of the website, services, and content provided by Visual Vibes Corp, doing business as Visual Vibes Studio ("we," "us," or "our"). By accessing the site or engaging our services, you agree to these Terms. If you do not agree, do not use our site or services.

1. Services

Visual Vibes Studio provides creative production services (film, photography, music videos, content, post-production, and related services) and marketing services (CRM setup, funnels, email/SMS, automation, and related offerings). Specific deliverables, timelines, and fees are defined in a separate statement of work, proposal, or agreement between us and the client.

2. Eligibility

You must be at least 18 years old and legally able to enter into contracts to use our services. By using our services, you represent that you meet these requirements.

3. Bookings, Deposits & Payments

• Project work may require a deposit or retainer before work begins.
• Invoices are due on the terms stated in the invoice or agreement.
• Late payments may incur interest or suspension of services.
• Studio rental bookings follow the policies published on our Peerspace listing or in your booking confirmation.

4. Cancellation & Refunds

Cancellation and refund policies vary by service type. Studio rentals follow the cancellation policy listed on our Peerspace listing. Retainer and project services are governed by the terms in your specific agreement. Sunday Sessions slot fees follow the policy posted on the Sunday Sessions application page.

5. Client Responsibilities

You agree to:

• Provide accurate information and timely feedback
• Secure any necessary permits, releases, or third-party permissions for your project
• Own or have the rights to any content you provide to us
• Pay invoices on time

6. Intellectual Property

Unless specified otherwise in a written agreement:

• All source files, raw footage, and project files remain the property of Visual Vibes Studio.
• Clients receive a license to use delivered final assets for their agreed-upon purpose.
• Visual Vibes Studio retains the right to display completed work in portfolios, case studies, and marketing materials, unless otherwise negotiated.

7. Acceptable Use

You agree not to:

• Use our services for unlawful, fraudulent, or harmful purposes
• Reverse engineer, scrape, or attempt to gain unauthorized access to our systems
• Impersonate any person or entity
• Upload malicious code or interfere with the operation of our site

8. Third-Party Services

We may use or integrate third-party services (hosting, CRM, SMS delivery, analytics, payment processing). We are not responsible for the practices or terms of those third parties. Your use of their services is subject to their respective terms.

9. Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee specific results from marketing services, traffic outcomes, or revenue outcomes. We disclaim all warranties to the fullest extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law, Visual Vibes Studio's total liability for any claim arising out of or related to these Terms or our services will not exceed the total fees you paid to us in the 3 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold harmless Visual Vibes Studio and its owners, employees, and contractors from any claims, damages, or expenses arising from your use of our services, your content, or your violation of these Terms.

12. Termination

We may suspend or terminate access to our services at any time for any reason, including violation of these Terms. You may terminate your engagement in accordance with the terms of your specific agreement with us.

13. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Bergen County, New Jersey.

14. Changes to Terms

We may update these Terms at any time. Changes are effective when posted. Continued use of our services constitutes acceptance of the revised Terms.
